1. Agreement to Terms

By accessing or using Inferactx's AI inference platform and services ("Services"), you agree to be bound by these Terms of Service. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

2. Description of Services

Inferactx provides an AI inference platform that enables developers and organizations to deploy, scale, and manage machine learning models. Our Services include API access, model deployment tools, optimization features, and related documentation.

3. Account Registration

To use our Services, you must:

• Create an account with accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be at least 18 years old or the age of majority in your jurisdiction

4. Acceptable Use

You agree not to use the Services to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Generate or distribute harmful, illegal, or offensive content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services
• Resell or redistribute the Services without authorization

5. Your Content and Models

You retain ownership of any models, data, and content you upload to our platform. By using our Services, you grant us a limited license to process your content solely for the purpose of providing the Services. We do not use your models or inference data to train our own systems without explicit consent.

6. Payment Terms

For paid Services:

• Fees are based on usage as described in our pricing documentation
• Payment is due according to your selected billing cycle
• We may change pricing with 30 days' notice
• Failure to pay may result in suspension of Services
• Refunds are provided only as required by law or at our discretion

7. Service Level Agreement

We strive to maintain 99.9% uptime for our production Services. Specific SLA terms, including credits for downtime, are available for enterprise customers under separate agreements. Scheduled maintenance windows are communicated in advance.

8. Intellectual Property

Inferactx retains all rights to the Services, including our software, APIs, documentation, and branding. These Terms do not grant you any rights to use our trademarks or branding without prior written consent.

9. Limitation of Liability

To the maximum extent permitted by law, Inferactx shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amounts paid by you in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Inferactx and its affiliates from any claims, damages, or expenses arising from your use of the Services, your content, or your violation of these Terms.

11. Termination

Either party may terminate this agreement at any time. Upon termination, your right to access the Services ends immediately. We may retain certain data as required by law or for legitimate business purposes. Provisions that should survive termination will remain in effect.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Services. Continued use after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in San Francisco County, California.
